Subscription Terms

1. Subscription types
1.1. Upinion offers both free and paid subscriptions. Anyone can register for a Free Account, or you can upgrade to a Pro Account. Within these accounts, you can use free Public Groups or paid Private Groups.

2. Accounts
2.1. A Free Account is free forever, meaning that we will not charge you for access to our Platform. With a Free Account you can create as many Conversations as you like, but you can only view a limited number of Conversations in your history.

2.2. A Pro Account is a paid subscription, meaning that we will charge you for access to our Platform. The Pro Account allows you to view your entire Conversation history.

3. Groups
3.1. Our Registered Users can create Groups. A Group subscription can either be a free group (“Public Group”) or a paid group (“Private Group”).

3.2. A Public Group is free forever, meaning that we will not charge you to create or access this Group. Respondents who are invited to join a Public Group can be invited by Upinion to join other Groups.

3.3. A Private Group is a paid subscription, meaning that we will charge you for the creation of this Group and Services related to it. Respondents who join a Private Group will not be invited by Upinion to join other Groups.

3.4. As a Group Administrator you may cancel or delete a Group once you have fulfilled your obligations as stated in the Reward Terms, including awarding Rewards to Respondents who have participated in your Group.

4. Purchase of Paid Subscriptions
4.1. Paid Subscriptions relate to Pro Accounts and Private Groups (“Paid Subscription”). Free subscriptions relate to Free accounts and Public Groups (“Free Subscription”). To purchase a Paid Subscription, you must provide us with accurate information regarding billing and payment details.

4.2. You agree to our third-party service providers storing and using your payment card information for the purpose of processing payments.

4.3. You agree to pay Upinion all fees specified on our Platform in accordance with the Terms of Use (“ToU”).

4.4. By purchasing a Paid Subscription, you authorize Upinion to charge you on the date of purchase (“Initial Billing Date”). From that time onwards, you authorize Upinion to charge you on the same day of the month following the Initial Billing Date (“Billing Date”). If a monthly subscription is scheduled for a date that does not occur in every month (such as the 31st), you will be charged on the last day of the month instead. Our Services start as soon as your payment has been processed by us.

4.5. The relevant subscription fees shall be payable in Euros, are non-refundable (see article 6), and are exclusive of any national, municipal, provisional or community sales tax, or other similar taxes, which shall be added to your bill at the appropriate rate.

4.6. If, for any reason, we are unable to process the payment of the relevant subscription fee from your payment account on the Billing Date, you will receive a reminder. If you still haven’t paid the subscription fee within thirty (30) days of the Billing Date, and without prejudice to any of our other rights and remedies, we may, without liability to you, disable access to all or part of our Platform and we shall be under no obligation to provide any or all of our Services.

4.7. If you fail to pay the subscription fee owed to us on time, you shall owe, without any notification of default being required, the statutory (commercial) interest on that amount with effect from the date on which the amount was due. Part of a month will count as a whole month when calculating the interest due.

4.8. If you dispute any charges you must let Upinion know within thirty (30) days after the Billing Date, by sending an email to [email protected].

4.9. Please note that fee for the Services related to our Pro Account and Private Group are subject to change without notice. Price changes for existing Paid Subscriptions will take effect on the next Billing Date. If we change our prices, we will give you at least one month’s notice on our website and via email. If you continue to use our Service after the price change becomes effective, you agree to this price change.

5. Automatic renewal
5.1. Your Paid Subscription will automatically renew at the end of every month or year (depending on your chosen subscription plan) after the Initial Billing Date, unless you cancel your Paid Subscription in accordance with article 6 of these Subscription Terms.

6. Changes to or cancellation of Paid Subscriptions
6.1 It is possible to change your Paid Subscription into a Free Subscription via your Account settings or by sending an email to [email protected]. Changes shall take effect on the next Billing Date. Please note that it is only possible to change your Paid Subscription to a Free Subscription if you have fulfilled all your obligations as stated in the Reward Terms, including awarding Rewards to Respondents who have participated in your Group.

6.2. When, as a result of a change, a lower subscription needs to be paid, you will not be entitled to a reimbursement of the difference between the old subscription fee and the new subscription fee for the remainder of the current subscription period.

6.3. If you are a Registered User with a Paid Subscription, you have the right to cancel your Paid Subscription for any reason and with no justification upon written notice within 14 days after your registration, in accordance with our Subscription Policy, by sending an email to [email protected] with the subject line “Cancellation”. All fees paid by you will be refunded, except for the fees directly related to the Services you have already used.

6.4. Please note that if you created a Private Group, the generated Group is unique and allocated to a specific Group Administrator and cannot be reutilized. Consequently, we have a “no returns” policy for these specific Services and all fees charged for the use of these Services are non-refundable.
